Terms of Service

1. Acceptance of Terms
By engaging Sparza ("Company," "we," "us," or "our") for any services, you ("Client") agree to be bound by these Terms of Service. If you do not agree to these terms, do not use our services.
2. Services
Sparza provides done-for-you local search engine optimization (SEO), Answer Engine Optimization (AEO), and Google Business Profile (GBP) management services for medspas, service businesses, and other local businesses. Specific deliverables, timelines, and pricing are defined in the service agreement or proposal provided to you separately.
3. The Sparza Guarantee
We guarantee page 1 Google rankings within 90 days for your agreed target keywords in your market. If we do not achieve this within 90 days from the start of active work, we will continue working at no additional monthly charge until the goal is met. This guarantee applies only to:
- Clients who remain current on all payments
- Keywords and markets mutually agreed upon in writing at onboarding
- Clients who implement all technical recommendations provided by Sparza within a reasonable timeframe
- Markets where Google's algorithm has not undergone a significant core update in the trailing 30 days
The guarantee does not apply to clients who make unauthorized changes to their website, GBP profile, or SEO setup during the engagement without Sparza's written approval.
4. Client Responsibilities
To allow Sparza to deliver results, you agree to:
- Provide timely access to your website, Google Business Profile, and any required accounts
- Provide accurate and complete business information
- Implement technical recommendations within 14 business days of delivery
- Notify Sparza before making any significant changes to your website or GBP
- Respond to requests for information or approvals within 5 business days
5. Payment Terms
Fees are billed monthly in advance unless otherwise agreed in writing. Payments are due on the billing date specified in your service agreement. Accounts more than 15 days past due may have services suspended. Sparza reserves the right to charge a 1.5% monthly late fee on overdue balances. All fees are non-refundable unless the guarantee terms apply.
6. Intellectual Property
All content, reports, strategies, and deliverables created by Sparza remain the property of Sparza until full payment is received. Upon payment, Client receives a non-exclusive license to use all deliverables for their business. Sparza retains the right to use anonymized results and case studies for marketing purposes.
7. Confidentiality
Both parties agree to keep the other's proprietary and confidential information strictly confidential and not to disclose it to any third party without prior written consent. This obligation survives termination of the service agreement.
8. Limitation of Liability
To the maximum extent permitted by applicable law, Sparza's total liability to you for any claims arising from or related to our services shall not exceed the total fees paid by you in the three months immediately preceding the claim. Sparza is not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, or business opportunities.
9. Disclaimer of Warranties
Except for the specific guarantee described in Section 3, all services are provided "as is." Sparza does not warrant that our services will achieve any specific ranking position, traffic volume, or revenue outcome beyond the guarantee. Search engine algorithms are outside our control and subject to change at any time.
10. Termination
Either party may terminate the service agreement with 30 days' written notice. Sparza may terminate immediately if the Client is in material breach of these terms. Upon termination, all outstanding fees become immediately due. Sparza will provide all completed deliverables to the Client within 14 days of termination.
11. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration in Miami-Dade County, Florida under the rules of the American Arbitration Association.
12. Changes to These Terms
We reserve the right to update these Terms at any time. We will notify active clients of material changes via email at least 14 days before they take effect. Continued use of our services after that date constitutes acceptance of the updated Terms.
